Who We Are

Magnet Minds and mAInds are brands of MAGNET MINDS OOD, a company registered in Bulgaria under UIC (EIK) 208468216, VAT number BG208468216, with its registered address at 5 Ekzarh Yosif I St., floor 2, office 1, Dobrich 9300, Bulgaria (“we”, “us”, “the agency”). These terms govern the services we provide to you (“you”, “the client”).

By accepting a proposal or paying an invoice, you agree to these terms.

Our Services

We provide paid advertising management (Google Ads, Meta Ads), website design and development, email marketing, SEO, and AI-generated video production under the mAInds brand.

The exact scope, deliverables, timeline and price for your engagement are set out in the proposal we send you. Where this document and your proposal differ, the proposal takes precedence.

How an Engagement Starts

An engagement begins when you accept a written proposal and the agreed payment is received. Until then, no work is reserved and no timeline is guaranteed.

Prices on this website marked “from” are starting prices, and the final price is confirmed in the proposal. Fixed package prices, such as the mAInds view packages and monthly plans, apply as published.

Payment Terms

Unless your proposal states otherwise:

• Project work is invoiced 100% in advance.
• Monthly retainers are invoiced at the start of each month.
• One-time setup fees are invoiced with the first payment.
• Advertising spend is paid by you directly to the platform and is not included in our fees.
• mAInds packages and monthly plans include all AI generation costs in the published price. For custom video work, any third-party generation costs are stated in the proposal.

All prices are in EUR. If a payment is late, we may pause the work until it arrives.

Guarantees

Where we publish a guarantee, it applies only under the conditions stated with it, and only where you have met your obligations under “What We Need From You”.

Each guarantee covers the delivery times and outcomes it names, such as the mAInds view targets or the ads ROAS commitment. Beyond those named outcomes, we do not guarantee revenue, profit or a specific return on ad spend, because these depend on your offer, pricing and market.

A guarantee gives you only the remedy it states (for example a fee credit or free continued work) and does not create a right to a refund beyond that.

mAInds view guarantee

The mAInds view packages (Pilot, 200,000 views; Standard, 500,000 views; Scale, 1,000,000 views) come with a guaranteed number of organic views. The monthly plans (Start, Rhythm, Daily) have no view target and are not covered by it, and the industry offers carry the conditions stated on their own pages. The guarantee works as follows:

• Organic views only. Views from paid promotion of any kind (ads, boosted posts, Spark Ads, partnership ads) do not count. The videos are made to travel organically and are not built for paid campaigns. Platforms do not reliably separate paid and organic views on the same post, so a video that is promoted with paid media at any point drops out of the count completely.
• Posted on all three platforms. You publish every video on your Instagram, TikTok and Facebook accounts. Only videos published on all three count toward the target.
• One cumulative count. We add up the views of every qualifying video in the package across the three platforms, using the view count each platform shows in its own analytics. You give us read access to these statistics or send screenshots when we ask.
• Your part. You publish each video promptly after delivery, keep it public and unchanged, and keep your accounts active and free of restrictions. Views bought from third parties or generated by bots do not count, and using them ends the guarantee. If delivered videos have not been published, we pause production until they are.
• The remedy. Until the cumulative count reaches the target, we keep making and delivering new videos at no extra cost, with the same revision rounds. The package is complete once the target is reached. The guarantee does not create a right to a refund.

What We Need From You

To deliver on time we need: timely access to accounts and assets, a named decision-maker, and feedback within the review windows we agree. Where a deadline depends on your input, our timeline starts when we have what we asked for.

You confirm that any brand assets, images, text or products you provide are yours to use and do not infringe anyone else’s rights.

Ownership and Intellectual Property

On full payment, you own the deliverables we produce for you: website code and copy, ad creative, video files and source files, and the accounts created in your name.

We retain the right to display completed work in our portfolio and marketing, unless you ask us in writing not to.

We retain ownership of our own internal templates, processes and tooling.

AI-Generated Work

Parts of our video and creative work are produced using artificial intelligence tools, directed and reviewed by us. See our AI Transparency statement for detail on how this works and what it means for you.

Where you publish AI-generated or AI-manipulated content, you are the deployer under the EU AI Act and responsible for any disclosure required in your market. We will tell you which assets are AI-generated so you can comply.

Third-Party Platforms

Our work depends on platforms we do not control, including Google, Meta, Shopify and AI providers. We are not responsible for their outages, policy changes, account suspensions or pricing changes.

Ad accounts are created in your name. You remain responsible for complying with each platform’s policies.

Limitation of Liability

To the extent permitted by Bulgarian law, our total liability arising from an engagement is limited to the fees you paid us for that engagement in the three months before the claim.

We are not liable for indirect or consequential loss, including lost profit, lost data or business interruption.

Nothing here limits liability for fraud, or for anything that cannot be limited by law.

Ending an Engagement

Monthly engagements may be ended by either side with written notice before the next billing date. mAInds monthly plans (Start, Rhythm, Daily) run on 30 days’ notice, as stated with their pricing. Work already invoiced is not refunded, and work delivered up to that point remains payable.

Project work may be stopped by you at any time; fees for completed stages are non-refundable.

We may end an engagement if payment is overdue, if requested work would breach a platform policy or the law, or in cases of abusive conduct.

Governing Law

These terms are governed by the laws of the Republic of Bulgaria. Disputes fall to the competent courts of Bulgaria. Where you are a consumer, mandatory consumer protections in your country of residence still apply.
